3. Client Responsibilities

Clients must:

• Provide accurate business details, access credentials, and creative assets
• Approve campaigns and budgets in a timely manner
• Ensure compliance with applicable advertising platform policies

We are not responsible for ad account bans or issues arising from client-submitted data or violations of third-party terms.

4. Payments & Billing

• All services must be prepaid unless otherwise agreed in writing
• Invoices will reflect project-based or subscription pricing
• Late payments may result in suspension of service
• Fees are exclusive of applicable taxes unless specified

We use Stripe and Wise for secure billing and invoicing.

5. Refund Policy

Due to the nature of digital services and time-based efforts, all payments are non-refundable once work has commenced, unless otherwise agreed in writing. We do not guarantee specific outcomes or results, unless otherwise agreed in writing.

6. Intellectual Property

All advertising materials, creatives, landing pages, copy, and designs produced by EMPERIAN AGENCY LTD specifically for the purpose of promoting the client’s business shall be considered the client’s property upon full payment of the agreed fees.

This includes:

• Ad creatives (images, videos, headlines, etc.)
• Landing pages and funnel designs
• Marketing copy, scripts, and automation flows
• Branding assets designed specifically for campaigns

EMPERIAN LTD waives any claim to ownership over these materials once delivered and paid for in full, and the client is free to use, modify, or repurpose them as they see fit.

However, EMPERIAN LTD retains the right to showcase non-confidential work for portfolio or promotional purposes unless otherwise agreed in writing.

7. Confidentiality & Non-Disclosure (Database Reactivation & Client Data)

In the course of providing marketing services such as database reactivation, lead nurturing, email/SMS campaigns, or similar initiatives, the Client may provide EMPERIAN AGENCY LTD with access to sensitive information including but not limited to:

• Customer or lead lists
• Contact information (emails, phone numbers, names)
• CRM data, purchase history, and interaction logs
• Internal offers, messaging strategies, or funnel data

EMPERIAN LTD agrees to treat all such information as strictly confidential and shall not:

• Share, disclose, sell, or otherwise transfer any part of this data to any third party
• Use the data for any purpose other than executing agreed-upon campaigns for the Client
• Retain copies of the data after the campaign ends unless required for reporting or performance review and only with client consent

We implement appropriate technical and organizational safeguards to prevent unauthorized access, including data encryption, access controls, and secure storage practices.

This confidentiality obligation remains in effect both during and after the end of the business relationship, unless the Client provides written permission or legal disclosure is required.

8. Limitation of Liability

EMPERIAN LTD is not liable for:

• Loss of revenue due to ad platform issues or account restrictions
• Technical errors beyond our control
• Delays caused by client inaction or lack of assets

In no event shall our liability exceed the amount paid by the client in the last 30 days.

9. Termination

Either party may terminate a service agreement with written notice. Upon termination, any outstanding fees are immediately due. EMPERIAN AGENCY LTD reserves the right to discontinue service for abuse, non-payment, or misuse of platforms.

10. Changes to These Terms

We may update these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms. The current version will always be available on this page.

11. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of  The United Kingdom.
